1. Agreement to Terms

By accessing or using the website at ea360solutions.com, or by engaging EA 360 Solutions for any of our services, you agree to be bound by these Terms of Service. Please read them carefully before proceeding.

If you do not agree with any part of these terms, you may not access our website or use our services.

2. About EA 360 Solutions

EA 360 Solutions is a Philippines-based managed talent platform that connects skilled Filipino professionals with US small and medium businesses. We provide sourcing, vetting, onboarding, payment processing, and ongoing account management services across the following roles:

• Virtual Assistants (Executive, Legal, Medical, and Real Estate)
• Customer Support Specialists
• Social Media Managers
• Bookkeepers
• IT Support Specialists
• Data Entry Specialists

3. Our Services

EA 360 Solutions acts as a managed talent platform and intermediary. We are not an employer of record for the professionals we place, nor are we a traditional staffing agency. Our role is to facilitate the match, manage the administrative and payment infrastructure, and provide ongoing support to both clients and professionals.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

4. Client Responsibilities

As a client of EA 360 Solutions, you agree to:

• Provide accurate and complete information when engaging our services
• Treat all placed professionals with respect and in accordance with reasonable workplace standards
• Make payments in accordance with the agreed monthly fixed rate and schedule
• Not directly solicit, hire, or engage any EA 360 professional independently outside of our platform without prior written consent
• Use our services only for lawful purposes and in compliance with applicable laws
• Provide reasonable notice of any changes to role requirements or working arrangements

5. Payment Terms

All services are billed at a flat monthly fixed rate as agreed during the discovery and onboarding process. Payments are due in accordance with the schedule outlined in your service agreement.

• Rates are quoted in USD and billed monthly in advance
• EA 360 Solutions reserves the right to conduct annual rate reviews to ensure fair compensation for our professionals. Any changes will be communicated with reasonable advance notice
• Late payments may result in a temporary suspension of services
• There are no setup fees, recruitment fees, or hidden charges

6. Our Perfect-Match Guarantee

EA 360 Solutions stands behind every placement. If a client believes a placed professional is not the right fit, we will work promptly to source and onboard a suitable replacement at no additional cost. This guarantee is subject to the client having provided clear role requirements and reasonable working conditions.

Refunds for services already rendered are not provided except where required by applicable law.

7. Intellectual Property

All content on the EA 360 Solutions website — including text, graphics, logos, and design — is the property of EA 360 Solutions and is protected by applicable intellectual property laws. You may not reproduce, distribute, or use any content without prior written permission.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the business relationship. All EA 360 professionals are required to agree to confidentiality terms before being introduced to any client business.

9. Limitation of Liability

To the fullest extent permitted by law, EA 360 Solutions shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services or website. Our total liability to any client shall not exceed the total fees paid in the three months preceding the claim.

10. Termination

Either party may terminate the service agreement with 30 days' written notice. EA 360 Solutions reserves the right to terminate services immediately in cases of breach of these terms, non-payment, or conduct that is harmful to our professionals.

11. Governing Law

These Terms of Service are governed by the laws of the Republic of the Philippines. Any disputes arising from these terms or our services shall be resolved through good-faith negotiation, and if necessary, through the appropriate courts in the Philippines.

12. Changes to These Terms

We may update these Terms of Service from time to time. We will notify active clients of material changes via email. Continued use of our services after any changes constitutes acceptance of the updated terms.
